📜 Sushrabin: General Terms & Conditions
1. Scope of Work and Change Requests
1.1 Defined Scope
The agreed-upon budget and project timeline are based exclusively on the Scope of Work detailed in the final, signed Proposal or Statement of Work (SOW). This document lists all specific deliverables, features, and revisions included in the project fee.
1.2 Additional Requirements (Scope Creep)
Any request by the Client for work, features, or design changes that fall outside the written Scope of Work is considered an Additional Requirement and will incur extra charges.
Process: The Client must submit all Additional Requirements in writing (a formal “Change Request”).
Approval: Sushrabin will evaluate the request and provide a detailed Change Order, outlining the required extra fees, new budget, and necessary timeline extension.
Execution: Work on the Additional Requirement will only begin upon the Client’s written approval of the Change Order and the payment of any corresponding upfront fees.
2. Pricing and Payment Structure
2.1 Budget is Based on Timeline
The project fee is fixed for the deliverables outlined in the SOW, calculated based on the estimated time required to meet the defined milestones. Any material changes to the timeline (Section 3) may require a corresponding adjustment to the total budget.
2.2 Payment Schedule
Projects require an upfront deposit (typically 30-50%) to commence work. The remaining balance is paid in scheduled installments linked to project milestones (e.g., UI/UX Completion, Beta Delivery, Final Launch).
Payment Due Date: All invoices are payable within [X] days of the invoice date (e.g., Net 7 or Net 14).
Non-Payment: Failure to pay an invoice by the due date may result in an immediate suspension of all work until payment is received, and a day-for-day extension on the final project deadline.
3. Project Timelines and Delays
3.1 Our Commitment
Sushrabin commits to using all reasonable efforts to meet the project deadlines outlined in the SOW.
3.2 Client-Caused Delays
The project timeline is dependent on the Client fulfilling their responsibilities promptly, including providing necessary content, assets, feedback, and approvals. In case of a delay caused by the Client (e.g., slow feedback, late content submission, delayed payment), the project timeline will be extended day-for-day.
Stop-Clock Clause: If the project stalls due to a Client dependency remaining unfulfilled for more than [Y] consecutive business days, Sushrabin reserves the right to suspend work and move the project to an administrative hold, with the timeline clock stopped.
3.3 Unforeseen Issues (Force Majeure)
In the event of unforeseen issues outside of Sushrabin’s control—such as natural disasters, government acts, third-party vendor failures (e.g., cloud outages), significant technical issues discovered during development, or severe illness—the project timeline may vary.
Notification: We will notify the Client immediately in writing of any issue expected to impact the timeline and provide a revised delivery schedule as soon as reasonably possible.
4. Project Acceptance and Revisions
4.1 Revisions Included
The agreed-upon project fee includes [Number] rounds of revisions per major deliverable (e.g., UI/UX design, Beta App).
4.2 Acceptance Criteria
Acceptance of a deliverable will be based on the objective criteria defined in the SOW. If the Client fails to provide written approval or feedback within [Z] business days of delivery, the deliverable will be deemed automatically approved.
5. Intellectual Property (IP)
Upon full and final payment of all invoices, the copyright and intellectual property rights for the final, agreed-upon deliverables (e.g., custom code, unique design assets) shall be transferred to the Client. Sushrabin retains the right to use the completed project in its portfolio and for promotional purposes, unless a separate Non-Disclosure Agreement (NDA) is in place.
